Liberty Silver Corp. Closes CAD $1,515,000 Non-Brokered Private Placement

March 27, 2017 - Toronto, Ontario. Liberty Silver Corp. (“Liberty” or the “Company”) is pleased to announce that it has closed a CAD $1,515,000 non-brokered private placement (“Private Placement”). The Private Placement financing was previously announced in the Company’s March 1, 2017 press release, which stated that Liberty would offer up to 1,500,000 shares of common stock (each a “Share”) at a price of CAD $1.00 per Share for aggregate gross proceeds of up to CAD $1,500,000. Due to the high level of interest and demand for the Private Placement, the Company has agreed to increase the Private Placement to 1,515,000 Shares at CAD$1.00 with gross proceeds of CAD$1,515,000. The board is considering closing an additional tranche of the Private Placement in the near-term to accommodate the excess demand. Proceeds of the Private Placement will be used for general working capital purposes. “We are extremely encouraged by the support we have received from the financial community”, said Howard Crosby, Chief Executive Officer of the Company. “Liberty is now in a financial position where it can move forward to improve its operations and create value for its shareholders.”

In connection with the Private Placement, Bruce Reid, a director of the Company, was issued 500,000 Shares. This issuance of common shares to Mr. Reid is considered a “related party transaction” as such term is defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company is relying on exemptions from the formal valuation and minority shareholder approval requirements provided under MI 61-101 on the basis that participation in the Private Placement by insiders does not exceed 25% of the fair market value of the Company’s market capitalization.” At the time of this press release, no securities of the Company are listed for trading on any stock exchange and there is currently no public market for the Company’s securities.
